These terms govern the use of this website and the general basis on which Joontide operates. Project-specific terms - including scope, deliverables, payment schedule, and timelines - are set out in your individual proposal and client contract, which take precedence over anything here.

Terms & Conditions

1. About Joontide

Joontide is a trading name of Joe Diton, a sole trader registered in England and Wales.

Registered address: 31 Appleford Road, Reading, RG30 3NX.

Joontide is not VAT registered. All prices stated on this website are in pounds sterling and exclude VAT unless otherwise noted.

2. Services and client contracts

All design and development projects are governed by a separate written client contract and proposal, issued before work begins. That contract sets out the scope, deliverables, timeline, and full terms of engagement for your specific project. Nothing in these general terms overrides that agreement.

By signing a client contract with Joontide, you confirm you have the authority to enter into that agreement on behalf of yourself or your organisation.

3. Payment

All project fees are payable in full before work begins. Work will not commence until payment has cleared.

Maintenance plan fees are billed annually at the start of each contract year. Details are set out in your maintenance agreement.

Payments are accepted by bank transfer. Invoice details will be provided in your proposal.

4. Intellectual property

All work produced by Joontide — including designs, code, and written copy — remains the intellectual property of Joontide until the completed website is launched and any outstanding fees have been settled in full.

Upon launch, full ownership of all bespoke design and code transfers to the client. Any third-party assets (fonts, stock imagery, licensed plugins) are subject to their own separate licences, which the client is responsible for maintaining beyond the project handover.

All content supplied by the client — text, images, brand assets, and data — remains the property of the client. You confirm that you have the rights to use any content you provide, and indemnify Joontide against any third-party claims arising from that content.

5. Portfolio and promotional use

Joontide reserves the right to display completed work in its portfolio, case studies, and promotional materials — including on this website and social media. This includes screenshots, performance metrics, and a description of the project.

If you'd prefer your project not to be featured, please let us know in writing before the project begins and we'll respect that preference.

6. Maintenance plans

Maintenance plans (Editor and Creator) are available exclusively for websites built by Joontide. They are offered on a 12-month contract basis, billed annually.

To end a maintenance plan, written notice of at least 60 days must be given before the end of the current contract year. If notice is not given within this window, the plan will renew for a further 12 months.

Joontide may terminate a maintenance plan with 60 days' written notice if the working relationship is no longer viable. In this event, a pro-rata refund for any unused whole months will be issued.

Full terms for each plan — including what is and isn't covered — are set out in the maintenance plan agreement issued at the time of sign-up.

7. Limitation of liability

Joontide carries professional indemnity insurance to a value of £10,000,000.

To the fullest extent permitted by law, Joontide's total liability to you — whether in contract, tort (including negligence), or otherwise — shall not exceed the total fees paid by you for the specific project or service giving rise to the claim.

Joontide is not liable for any indirect, consequential, or loss-of-profit damages arising from use of a completed website or any service provided, including but not limited to: hosting outages, third-party service failures, or search engine ranking changes.

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot legally be excluded.

8. Use of this website

The content on this website is provided for general information only. While every effort is made to keep it accurate and up to date, Joontide makes no guarantees about its completeness or suitability for your specific circumstances.

You may not reproduce or redistribute any content from this website without prior written permission.

9. Privacy and data

Any personal data you share with Joontide — whether through this website, email, or the booking system — is handled in accordance with our Privacy Policy. Please read it to understand how your information is used and stored.

10. Governing law

These terms are governed by the laws of England and Wales. Any disputes arising from them will be subject to the exclusive jurisdiction of the courts of England and Wales.

11. Changes to these terms

Joontide may update these terms from time to time. The date at the top of this page will always reflect the most recent version. Your continued use of this website after any changes constitutes acceptance of the updated terms.
